- 1). Choose a name for the corporation. It is not mandatory to do so, and if you opt not to choose a name the official name will default to the number assigned to the corporation by Corporations Canada (e.g. 987654 Ontario Ltd.). If you choose a name for the corporation, it is required that you obtain a NUANS report, verifying the name does not conflict with another name already in use. The report costs $20 and can be obtained online. It is not necessary if you opt not to have a name.
- 2). Submit the Articles of Incorporation. Ensure that the articles denote a provincial corporation in Ontario, rather than another province or federal incorporation. This can be done online at the Corporations Canada Filing Centre for $300. The articles may also be submitted by post or in person for a fee of $360. Some of the more complicated sections of the articles, such as the rights of different classes of shares, may warrant obtaining legal advice.
- 3). Get the Certificate of Incorporation. Once Corporations Canada has processed and approved the Articles of Incorporation it will send the incorporator a Certificate of Incorporation, which will include a Date of Incorporation. On that date, the corporation can be considered officially registered.
