How to Form an LLC in Kentucky

    • 1). Choose a business name for your LLC. Use the organization search tool on the Kentucky Secretary of State's website to see if a particular name is already registered. You can also search through Kentucky business directories to verify whether the name you want to use is available. Names already registered with the Kentucky Secretary of State's Office may not be used by another business. If you attempt to register a business name already registered, your articles of organization will be rejected.

    • 2). Download articles of organization forms from the secretary of state's website or call 502-564-3490 to have hard copies mailed to you. Office hours are from 8:00 a.m. to 4:30 p.m. EST. Fill out the forms and include the business name of the LLC, address of the business' principal office and name and address of the registered agent--the person who receives all official business correspondence from the state on behalf of the business. The registered agent and LLC organizer must sign the articles of organization.

    • 3). Send completed forms and payment for the filing fee ($40 as of May 2010) to the secretary of state's office. Acceptable forms of payment include debit and credit cards, electronic funds transfer from a bank account, prepaid accounts (open an account with SOS office), cash or check. Make checks payable to "Kentucky State Treasurer." File articles of organization online using the Commonwealth of Kentucky's FastTrack Business Registration System.
